Terms of Service

By creating a SpiRestro account or using any part of our platform, you ("Partner" or "you") agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use SpiRestro. These terms apply to restaurant owners, their staff accounts, and any entity using the platform on their behalf.

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account, including actions by staff sub-accounts
• Providing accurate, current, and complete information during registration
• Notifying us immediately of any unauthorised access to your account

SpiRestro is not liable for any loss or damage arising from your failure to comply with these obligations.

SpiRestro offers monthly and annual subscription plans. By selecting a plan:

• You authorise us to charge the applicable fee to your Razorpay-linked payment method on a recurring basis
• Subscription fees are billed in advance at the start of each billing cycle
• Annual subscriptions are non-refundable after the 7-day trial period unless otherwise stated
• We reserve the right to change pricing with 30 days' notice; continued use constitutes acceptance
• Failed payments may result in service suspension after a 7-day grace period

You agree not to use SpiRestro to:

• Violate any applicable law, regulation, or third-party rights
• Upload or transmit malicious code, viruses, or harmful content
• Reverse-engineer, decompile, or attempt to extract source code
• Resell, sublicense, or white-label the platform without our written consent
• Use automated tools to scrape or excessively load our systems
• Impersonate SpiRestro, our employees, or other users

You retain full ownership of all restaurant data you enter into SpiRestro (menus, orders, customer details, etc.). You grant us a limited licence to store, process, and display this data solely to operate the platform. We do not use your operational data for advertising or sell it to third parties. On account closure, you may export your data within 30 days before it is deleted.

To the maximum extent permitted by law, SpiRestro and SpireHubs Technologies shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profit, revenue, or data arising from your use of or inability to use the platform. Our total liability in any matter arising from these terms shall not exceed the fees paid by you in the 3 months preceding the claim.

Either party may terminate the subscription at any time:

• You may cancel via your account settings; access continues until the end of the current billing period
• We may suspend or terminate your account immediately for material breach of these terms, non-payment, or illegal activity
• On termination, your right to access the platform ceases; data export is available for 30 days

These terms are governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka. We encourage you to contact us first — most concerns can be resolved quickly.

We may update these terms at any time. For material changes, we will notify you by email or in-app notification at least 14 days before they take effect. Continued use after the effective date constitutes acceptance of the revised terms.
